Partner Program Terms

1. The program

The program is offered by HUGO FREITAS TECNOLOGIA LTDA ("Arkame"). There are two paths: refer customers and earn commission (Affiliate), or resell Arkame at a wholesale price per server with your brand on the panel (Starter, Silver, Gold and Platinum).

Participation depends on the application being approved. Being a partner creates no employment, partnership, agency or exclusivity relationship between the parties.

2. Who can join

Companies and professionals in any country who serve IT customers, such as agencies, MSPs and consultancies. To receive commission, you must be able to issue an invoice (a nota fiscal, in Brazil) for the amounts received.

Application data must be accurate. We may decline an application or ask for more information, with no obligation to explain.

3. Tiers

Affiliate: referral, with no reselling and nothing billed to the partner.

Reselling, by active servers under your management (yours and your clients’): Starter, up to 49; Silver, 50 to 149; Gold, 150 to 299; Platinum, 300 or more, with conditions agreed case by case.

Tiers are reviewed every month. Moving up is immediate, as soon as the volume justifies it; moving down only happens after two consecutive months below the band.

4. Referral commission (Affiliate)

You get a link (arkame.app/r/<your-code>). Visitors who arrive through it are marked for 90 days, and the referral counts when the referred organization is created with it recorded. Referring yourself or companies in your own group, or using misleading means to generate referrals, earns no commission.

The commission is 20% of the net amount each referred customer actually paid in the month — after payment-processor fees, and minus refunds and chargebacks — every month they keep paying.

Commission is calculated monthly, on the first day of the following month. For a month’s commission to be calculated, you must have referred at least one new server in the last 60 days; otherwise the month earns no commission, but the balance already earned stays.

5. Commission payout

Commission first offsets your own Arkame subscription, as a credit; any overdue license is also deducted first.

The rest accumulates and is paid once the balance reaches US$ 20 (partners outside Brazil) or R$ 100 (partners in Brazil), in your country’s currency: by international transfer outside Brazil, by PIX in Brazil, against the invoice you issue. Taxes and bank fees on your side are your responsibility.

A balance left with no activity for 24 consecutive months expires.

6. Wholesale reselling

The reseller subscribes to Arkame and pays, in a single subscription, its tier’s wholesale price per active server across the whole portfolio — its own servers and its clients’ —, in its country’s currency. The current wholesale price is shown in the partner area and may change with 30 days’ notice.

The final price to the client is your call, and you bill the client yourself, with your own invoice. Arkame does not bill resale clients.

Your clients’ service follows your subscription: if it is suspended for non-payment, your clients’ backups stop (restores keep working); if it is cancelled, the cancellation effects in the Terms of Service apply.

First-level support to your clients is yours. Arkame supports the reseller at second level, through contato@arkame.app. You agree to have your clients accept usage rules at least equivalent to those in Arkame’s Terms of Service.

7. Brand use

You may use the Arkame name and logo to promote the service, without altering them and without implying you are Arkame or speak for it. No misleading advertising and no unsolicited messages (spam).

When reselling, the panel may carry your name, logo and color; you guarantee you hold the rights to your brand. The rights to Arkame’s brand and software remain Arkame’s.

8. Data protection and confidentiality

Resellers see, in the partner area, their clients’ organization data: name, status, servers, plans, usage and members (name and email). Referral partners only see aggregate data: organization name, status and number of servers. No partner sees backup content or bucket keys.

For that data, the partner acts as an independent controller: it uses it only to serve the clients within the program, complies with the LGPD and other applicable laws, does not sell or pass it on, and notifies Arkame without delay if it learns of an incident involving it.

Non-public commercial terms (such as the wholesale price and negotiated conditions) are confidential, during the partnership and for 2 years after it.

9. Termination

Either party may leave the program at any time with 30 days’ notice by email. Arkame may terminate immediately in case of fraud, self-referral, or breach of these rules or the Terms of Service.

On termination, commission balance already calculated and not expired is paid under these rules, except in case of fraud. For reselling, we agree with the partner and the clients on a transition period so the clients can contract Arkame directly or another partner, without losing settings or history.

10. Changes

We may change these rules with at least 30 days’ notice by email. Changes to the commission rate or wholesale price do not affect amounts already calculated. If you do not agree, you can leave the program before the change takes effect.

11. Governing law and jurisdiction

These rules are governed by the laws of Brazil. The courts of Goiânia, State of Goiás, Brazil, have jurisdiction.
